Board Evaluations

Independent, confidential evaluations of the Board, its Committees, the Chair and individual directors, with findings the Board can act on.

Why it matters

An honest view of how the Board performs

The King V™ Code on Corporate Governance for South Africa 2025 (King V™) recommends that governing bodies regularly evaluate their own performance and that of their Committees, Chair and members. A well-run evaluation does more than meet a recommendation: it shows what is working, what is not, and what the Board should change.

When an outside party facilitates the process, directors can respond candidly, and the results carry more weight with Shareholders and other stakeholders.

What we can evaluate

  • The Board as a whole
  • Board Committees
  • The Chair
  • Individual directors, through self and peer assessment
  • The Company Secretary function

Where Synesis is your Company Secretary, we exclude our own performance from the evaluation and the Chair assesses it directly.

How it works

The evaluation process

01

Scope

Objectives, scope and timing agreed with the Chair.

02

Design

Questionnaires tailored to your Board charter, Committee terms of reference and sector.

03

Responses

Collected confidentially, with optional one-on-one interviews with directors.

04

Findings

A report of themes, strengths and areas for improvement, presented to the Chair and the Board.

05

Action plan

Agreed actions tracked to completion, with input for the governance disclosure in your annual or integrated report.

Confidentiality

Individual responses are kept strictly confidential. Only consolidated results are reported, unless the Board agrees otherwise before the evaluation starts.

Plan your next Board evaluation

A short consultation with the Chair or Company Secretary is enough to scope the evaluation and prepare a written quote.
